Terms and Conditions

These Terms and Conditions ("Terms") are entered into by and between you ("you," "User," "Contributor," or "Partner," as applicable) and VADER FUN CORPORATION ("VADER," "we," "our," or "us"), a company established under the laws of Panama.

These Terms govern your access to and use of VADER's website, applications, dashboards, protocol interfaces, contribution tools, data layer, model infrastructure layer, validation tools, wallet-connected features, and related services (collectively, the "Services").

By accessing or using the Services, creating an account, connecting a wallet, submitting Contribution Data, accessing protocol data, using model infrastructure features, or requesting real-world validation, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Who These Terms Apply To

These Terms apply to all users of the Services, including:

  • general website and application users;
  • contributors who submit physical AI training data;
  • partners who access protocol-sourced data or model infrastructure features;
  • users who request or participate in real-world model validation workflows;
  • any person or entity using an account, wallet, dashboard, API, or other interface connected to the Services.

If you use the Services on behalf of an entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" includes both you and that entity.

2. Eligibility

You may use the Services only if you are at least 18 years old, or the age of majority in your jurisdiction, and have legal capacity to enter into these Terms.

You may not use the Services if you are prohibited from doing so under applicable law, sanctions rules, export control rules, or other legal restrictions.

VADER may refuse, restrict, suspend, or terminate access to any user, wallet, account, feature, jurisdiction, or use case where we determine that legal, safety, operational, security, compliance, or policy concerns exist.

3. The Services

VADER is a physical AI infrastructure protocol. The Services may include:

  • physical AI data contribution interfaces;
  • egocentric video, simulation, and teleoperation contribution workflows;
  • dataset organization, access, and evaluation tools;
  • model training workflow support for World Action Models, Vision-Language-Action models, and task-specific policy models;
  • partner dashboards and access controls;
  • staking-based access controls;
  • real-world model validation workflows in controlled lab environments;
  • wallet-connected features and protocol reward mechanisms;
  • related software, APIs, documentation, interfaces, and operational tools.

The Services may change over time. Features may be added, modified, suspended, delayed, limited, or discontinued without creating any obligation to continue supporting a particular feature, workflow, interface, or access method.

Marketing materials, litepapers, documentation, website copy, social media posts, future plans, diagrams, or similar materials are provided for informational purposes only. They do not create binding commitments, warranties, delivery obligations, or guarantees unless expressly included in a separate written agreement signed by VADER.

4. Accounts and Security

You may need an account, wallet, invite code, access approval, or other credentials to use certain Services.

You are responsible for:

  • maintaining the security of your account, wallet, devices, passwords, private keys, passphrases, and recovery phrases;
  • all activity that occurs through your account, wallet, credentials, or authorized users;
  • ensuring that information you provide is accurate, current, and complete;
  • promptly notifying VADER of unauthorized access or security incidents.

You may not share accounts or credentials except where VADER expressly permits authorized users for an entity account. If you are a Partner, you are responsible for your authorized users and their compliance with these Terms.

5. Wallets, Blockchain Transactions, and $VADER

Certain Services may require connecting a compatible wallet or interacting with supported blockchain networks.

$VADER is a functional protocol token used for access, rewards, staking-based access controls, and other service-related functions. $VADER is deployed on Base Network at contract address:

$VADER is not offered as an investment, security, equity interest, debt instrument, profit-sharing right, governance right, or claim on VADER or its assets. VADER makes no representation that $VADER will increase in value, retain value, provide yield, generate profits, or be redeemable for any specific amount of fiat currency, digital asset, product, or service.

You are solely responsible for your wallet, private keys, signatures, transactions, gas fees, tax obligations, and compliance with applicable law. VADER does not custody your wallet assets and cannot reverse, recover, or control public blockchain transactions.

Blockchain networks and wallet providers are third-party systems outside VADER's control. Transactions may be delayed, fail, be irreversible, or be subject to network fees, smart contract risks, wallet errors, security incidents, and regulatory risks.

6. Staking and Access Rights

Certain Services may require staking, holding, locking, or otherwise using $VADER as an access-control mechanism.

Staking or using $VADER for access does not create ownership rights in VADER, the Services, Contribution Data, datasets, partner models, robots, infrastructure, revenues, or any other asset.

Staking does not guarantee profit, yield, rewards, appreciation, availability, uptime, model performance, data quality, validation success, or continued access.

Access rights may be limited, modified, revoked, suspended, or subject to additional requirements based on service rules, safety requirements, technical constraints, legal restrictions, compliance concerns, or violations of these Terms.

7. Contributor Submissions and Contribution Data

"Contribution Data" means any physical AI training data, content, media, recordings, files, metadata, task records, simulation outputs, teleoperation recordings, labels, annotations, validation results, quality signals, and related materials submitted, uploaded, generated, or provided by you through the Services.

Contribution Data may include:

  • egocentric video submissions;
  • simulation sessions and outputs;
  • teleoperation recordings and control data;
  • task labels and metadata;
  • uploaded media and file metadata;
  • validation status, quality signals, and evaluation records;
  • related submission history and operational records.

At the time of upload or submission, VADER may require you to confirm additional contribution rules, consent language, task requirements, or license terms. You must not submit Contribution Data unless you agree to those requirements.

8. Contributor Ownership and License to VADER

As between you and VADER, you retain any ownership rights you have in your Contribution Data.

By submitting Contribution Data, you grant VADER a non-exclusive, worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to use, host, store, reproduce, process, modify, adapt, translate, annotate, label, validate, analyze, evaluate, combine, aggregate, de-identify, anonymize, distribute, commercialize, make available, and create derivative works from the Contribution Data for any purpose connected to VADER, the Services, physical AI research, dataset creation, model training workflows, model evaluation, partner access, real-world validation, security, compliance, and protocol operations.

This license includes the right to make Contribution Data and related datasets available to Partners under applicable access terms.

To the maximum extent permitted by law, you waive and agree not to assert any moral rights, rights of attribution, rights of integrity, or similar rights that would interfere with VADER's exercise of the license granted in these Terms.

You acknowledge that you are not entitled to royalties, revenue share, approval rights, attribution, additional compensation, or participation in revenues from VADER's use, licensing, sublicensing, commercialization, or processing of Contribution Data, except for any protocol rewards expressly made available under applicable service rules.

9. Contributor Representations

By submitting Contribution Data, you represent and warrant that:

  • you own or have all rights necessary to submit the Contribution Data and grant the license in these Terms;
  • your submission does not violate privacy, publicity, intellectual property, contractual, confidentiality, employment, platform, or other third-party rights;
  • you have obtained all required consents from any person visible, audible, identifiable, or otherwise represented in the submission;
  • your submission does not include minors, sensitive personal data, confidential information, trade secrets, protected health information, or other restricted content without all required rights, permissions, and consents; and where your submission contains biometric identifiers, you have obtained the informed written consent of every person whose biometric data is present, as required by applicable law and described in the Privacy Policy;
  • your submission is accurate, genuine, and not manipulated to deceive VADER, Partners, validators, reviewers, or automated systems;
  • your submission complies with all applicable task instructions, contribution rules, and laws.

You are solely responsible for your Contribution Data and for any claims arising from it.

10. Submission Review, Validation, and Rejection

VADER may use automated systems, human review, or both to evaluate Contribution Data, detect fraud, verify task completion, assess quality, determine eligibility, prioritize submissions, and allocate rewards.

Eligibility, validation, acceptance, rejection, scoring, weighting, prioritization, and reward determinations are made under VADER's systems, rules, and processes. These systems and processes may be automated, discretionary, or both, and may change over time.

VADER may reject, remove, downgrade, withhold, delay, disqualify, or reclassify any submission for any reason permitted by law, including suspected fraud, manipulation, poor quality, missing rights, policy violations, safety concerns, duplicate submissions, malicious data, or failure to meet task requirements.

Except where required by applicable law, VADER's determinations are final and binding.

11. Removal Requests and Limits

You may request removal of certain hosted Contribution Data by contacting VADER through the channels we provide. VADER may evaluate removal requests under applicable law, the Privacy Policy, these Terms, prior licenses, technical constraints, and operational requirements.

Removal or deletion of hosted files, where available, does not affect:

  • prior lawful processing or use;
  • prior Partner access or use;
  • derived datasets;
  • annotations, labels, metadata, validation records, or quality signals;
  • aggregated, de-identified, or anonymized data;
  • training data mixtures;
  • trained, partially trained, or evaluated models;
  • evaluation artifacts;
  • backups, logs, security records, or compliance records;
  • blockchain records;
  • rights already granted to VADER or third parties under these Terms.

12. Partner Data Access

Partners may receive access to protocol-sourced data, Contribution Data, processed data, derived datasets, metadata, annotations, validation records, de-identified data, or aggregated data under applicable service rules, access controls, staking requirements, and commercial terms.

Unless separately agreed in writing, Partner access is limited, non-exclusive, non-transferable, revocable, and solely for permitted physical AI model training, evaluation, and real-world validation purposes.

Partners do not acquire ownership of Contribution Data, raw data, datasets, metadata, labels, annotations, or VADER infrastructure by accessing or using them.

Partners may not, unless VADER expressly authorizes it in writing:

  • resell, sublicense, publish, release, or redistribute accessed data;
  • create a competing dataset marketplace or data-access service using accessed data;
  • share access credentials or data with unauthorized users;
  • use accessed data outside permitted methods, channels, environments, or service rules;
  • attempt to re-identify, deanonymize, or contact individuals represented in data;
  • remove attribution, provenance, audit, access-control, or usage restrictions;
  • circumvent technical limits, staking requirements, usage controls, or export restrictions;
  • use data for unlawful surveillance, biometric identification, discriminatory profiling, harassment, or other prohibited purposes.

If access is granted to an entity, only its authorized users may use the access rights. The entity remains responsible for all acts and omissions of its authorized users.

Partners are responsible for maintaining reasonable technical, organizational, and access safeguards for any data they access, and must promptly notify VADER of suspected unauthorized access, disclosure, loss, or misuse.

Partners are solely responsible for models, outputs, products, deployments, and downstream uses developed using accessed data. VADER's provision of data access does not constitute approval, certification, or endorsement of any Partner model, output, product, deployment, or use case.

13. Model Infrastructure Layer

VADER's model infrastructure layer supports physical AI model training workflows. It may include dataset preparation, workflow coordination, model training support, model evaluation, and related tooling for World Action Models, Vision-Language-Action models, and task-specific policy models.

VADER does not claim ownership of Partner models trained by Partners using the Services, except for VADER's own pre-existing intellectual property, datasets, tools, software, systems, interfaces, documentation, and other materials.

By submitting, uploading, connecting, or using a Partner model through the Services, the Partner grants VADER only the limited rights necessary to provide, operate, secure, evaluate, troubleshoot, log, support, and protect the applicable Services, and to comply with law.

These limited operational rights do not grant VADER the right to own, commercialize, resell, sublicense, provide to other customers, or train on a Partner model for VADER's own independent benefit unless separately agreed in writing.

The model infrastructure layer does not create any guarantee that a model will train successfully, perform reliably, meet a benchmark, transfer to hardware, or be suitable for any particular use case.

Partners are solely responsible for determining whether any model, output, product, or deployment created using the Services is lawful, safe, suitable, and compliant for its intended use.

14. Real-World Validation and Robot Access

VADER may provide access to real-world model validation workflows in controlled lab environments using lab-deployed robots.

Robot access is conditional, limited, monitored, and revocable. VADER may require additional approvals, safety checks, technical review, documentation, test constraints, operational rules, or click-through acknowledgments before allowing any validation workflow.

VADER may refuse, interrupt, pause, modify, terminate, or override any robot session, validation run, model test, command, or workflow at any time for safety, legal, operational, technical, security, facility, hardware, or policy reasons.

You have no right to unsafe testing, unrestricted robot access, specific hardware, a specific facility, a specific time slot, a specific validation result, or uninterrupted session availability.

VADER may monitor validation sessions, retain operational logs, and use emergency stop or override mechanisms.

You may not use robot access or validation tools to:

  • damage, overload, misuse, or interfere with hardware, facilities, networks, or safety systems;
  • test unlawful, dangerous, harmful, weaponized, deceptive, or surveillance-oriented behaviors;
  • bypass safety constraints, monitoring, approvals, or access controls;
  • submit models or commands intended to cause physical damage, unsafe motion, privacy violations, or unlawful outcomes;
  • use lab resources in a way that violates applicable law, facility rules, or VADER policies.

Real-world validation does not guarantee that a model is safe, reliable, commercially usable, compliant, production-ready, or suitable for deployment outside the controlled validation environment.

15. Rewards

VADER may make $VADER rewards or other protocol-related rewards available for eligible contributions or activities under applicable service rules.

Rewards are not wages, salary, employment compensation, contractor compensation, investment returns, securities, interest, dividends, profit share, or guaranteed consideration.

No employment, agency, partnership, fiduciary, franchise, joint venture, or contractor relationship is created by submitting Contribution Data, receiving rewards, staking tokens, or using the Services.

Reward availability, eligibility, amount, timing, method, and conditions may change. VADER may withhold, cancel, reverse, delay, or disqualify rewards where permitted by law, including in connection with fraud, abuse, invalid submissions, policy violations, sanctions concerns, account issues, technical errors, or legal requirements.

You are solely responsible for taxes, reporting, and other obligations relating to rewards, tokens, transactions, and use of the Services.

16. Fees, Access Requirements, and Refunds

Certain Services may require fees, staking, token usage, access approvals, or other requirements.

Any applicable fees, staking requirements, access conditions, or service-specific payment terms will be presented through the Services or a separate agreement.

Unless expressly stated otherwise or required by law, fees, network costs, gas fees, and access-related charges are non-refundable.

VADER may determine usage, access, and service records using its systems and logs. If a service is interrupted, delayed, unavailable, or partially completed, VADER may determine, in its discretion and subject to applicable law, whether any credit, refund, rescheduling, or remedy is appropriate.

17. Acceptable Use

You may use the Services only for lawful purposes and in accordance with these Terms.

You may not:

  • submit fraudulent, manipulated, synthetic, mislabeled, stolen, unauthorized, malicious, or low-quality data;
  • engage in dataset poisoning, adversarial contribution attacks, model manipulation, or attempts to corrupt datasets or evaluations;
  • impersonate another person or entity;
  • create, use, or control multiple accounts to bypass limits, rewards rules, access controls, or validation systems;
  • use bots, scrapers, automation, or scripts except where VADER expressly permits them;
  • reverse engineer, decompile, or attempt to discover source code, non-public APIs, models, datasets, systems, or security mechanisms;
  • bypass, disable, or interfere with rate limits, staking requirements, access controls, monitoring, or security features;
  • resell, sublicense, transfer, or share unauthorized access to data, models, dashboards, APIs, robot sessions, or Services;
  • re-identify, deanonymize, profile, track, surveil, or contact individuals represented in Contribution Data unless expressly authorized by VADER and permitted by law;
  • use the Services for biometric identification, unlawful surveillance, discriminatory profiling, harassment, exploitation, or harmful targeting;
  • use model infrastructure, datasets, robot access, or validation tools for unlawful, unsafe, weaponized, deceptive, or harmful purposes;
  • upload malware, viruses, harmful code, or content designed to interfere with systems;
  • violate intellectual property, privacy, publicity, confidentiality, employment, contractual, or other rights;
  • interfere with or damage VADER, Partners, users, robots, facilities, infrastructure, networks, or third-party services.

18. Compliance and Access Restrictions

You must comply with all applicable laws, regulations, sanctions, export controls, tax rules, data protection laws, intellectual property laws, and safety rules.

You may not use the Services if you are:

  • the subject of sanctions or export restrictions;
  • located in, organized under the laws of, or ordinarily resident in a jurisdiction where use of the Services is prohibited;
  • acting on behalf of a sanctioned, restricted, or prohibited person;
  • using the Services for unlawful end uses or prohibited end users.

VADER may deny, suspend, restrict, or terminate access where we determine that legal, compliance, sanctions, export control, or risk concerns exist in connection with an account, jurisdiction, or use case.

19. Community, Referral, and Promotional Activity

VADER may make referral, community, ambassador, representative, or promotional programs available from time to time. Participation in any such program is subject to these Terms and any additional program rules.

If you promote VADER, $VADER, the Services, a referral link, or any related program, you must:

  • make only truthful, accurate, and non-misleading statements;
  • disclose any material connection to VADER, including rewards, payments, token allocations, referral benefits, or other incentives, where required by law or where such connection would not be obvious;
  • avoid investment, profit, price, yield, appreciation, return, or financial advice claims;
  • not imply that VADER has approved specific statements unless VADER has expressly done so in writing;
  • not use fake reviews, fake testimonials, fake users, bots, manipulated engagement, or misleading social proof;
  • comply with applicable advertising, consumer protection, platform, securities, and disclosure laws.

VADER may suspend or terminate participation in any community, referral, representative, or promotional program for misleading promotion, undisclosed incentives, spam, abuse, fraud, policy violations, or legal risk.

20. Service-Specific Terms and Additional Rules

Some Services may be subject to additional terms, contribution rules, safety instructions, access rules, partner agreements, order forms, dashboard notices, or click-through confirmations.

If additional terms apply to a specific Service, you must comply with them. If there is a conflict between these Terms and a separate written agreement signed by VADER, the separate written agreement controls only for the specific subject matter it covers.

21. Intellectual Property

The Services, including software, interfaces, dashboards, workflows, datasets created by VADER, documentation, designs, logos, trademarks, systems, and other materials, are owned by VADER or its licensors and are protected by intellectual property laws.

Except for rights expressly granted to you, VADER and its licensors reserve all rights in the Services and related materials.

You may not copy, modify, distribute, create derivative works from, publicly display, publicly perform, or exploit VADER materials except as expressly permitted by these Terms or a separate written agreement.

22. Third-Party Services and Dependencies

The Services may rely on third-party wallets, blockchain networks, RPC providers, storage providers, cloud providers, authentication providers, payment or token infrastructure, hardware vendors, lab operators, robotics systems, network providers, and other third-party services.

VADER does not control third-party services and is not responsible for their acts, omissions, failures, downtime, security incidents, fees, policies, terms, or performance.

Your use of third-party services may be subject to separate terms and privacy policies.

23. Beta, Experimental, and Evolving Services

The Services may include alpha, beta, preview, experimental, limited, or evolving features.

You acknowledge that data contribution tools, model infrastructure features, validation workflows, robot access, dashboards, APIs, staking mechanisms, and other Services may be incomplete, inaccurate, unreliable, unavailable, delayed, interrupted, modified, or discontinued.

The Services are provided for use at your own risk. VADER does not guarantee uptime, data availability, dataset quality, model performance, validation success, hardware availability, robot compatibility, or uninterrupted access.

24. No Professional Advice

Nothing in the Services, Website, litepaper, documentation, dashboards, communications, or materials constitutes legal, financial, investment, tax, engineering, safety, compliance, medical, or other professional advice.

You are responsible for obtaining independent advice before relying on any information, using data, training models, connecting wallets, staking tokens, requesting validation, or engaging in transactions.

25. Privacy

VADER's Privacy Policy explains how we collect, use, store, and share personal data. The Privacy Policy is incorporated into these Terms by reference.

The Privacy Policy governs personal data processing. These Terms govern the contractual license, access, contribution, service, and usage rights connected to the Services.

26. Suspension and Termination

VADER may suspend, restrict, or terminate your account, wallet access, data access, model infrastructure access, validation sessions, robot sessions, API access, rewards eligibility, or any other Service at any time where VADER determines that legal, safety, operational, security, compliance, fraud, abuse, or policy concerns exist.

Upon suspension or termination:

  • current access rights may end immediately;
  • pending jobs, uploads, model workflows, or validation sessions may be paused, cancelled, or deleted;
  • scheduled robot sessions may be cancelled or rescheduled;
  • pending, earned, or undistributed rewards may be withheld, cancelled, reversed, or disqualified where permitted by law and reasonably connected to fraud, abuse, invalid submissions, safety, sanctions, compliance, or policy violations;
  • you must stop using any data, datasets, interfaces, or Services to which your access has been terminated;
  • VADER may retain Contribution Data, logs, records, and other materials as permitted by these Terms, the Privacy Policy, and applicable law.

Termination does not affect licenses, restrictions, disclaimers, indemnities, payment obligations, ownership provisions, dispute provisions, or other terms that by their nature should survive.

27. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.

VADER disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, uninterrupted operation, dataset quality, model performance, robot availability, validation success, and suitability for any particular use.

VADER does not warrant that:

  • Contribution Data will be accepted, rewarded, or used;
  • datasets will be complete, accurate, representative, unbiased, lawful for your intended use, or suitable for training a particular model;
  • model infrastructure workflows will produce successful or reliable models;
  • validation results will transfer to real-world deployment outside controlled lab environments;
  • robots, labs, wallets, blockchain networks, or third-party services will be available or error-free;
  • the Services will meet your requirements or expectations.

28. Limitation of Liability

To the maximum extent permitted by law, VADER and its affiliates, directors, officers, employees, contractors, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenues, lost data, loss of goodwill, business interruption, model failure, hardware failure, lost rewards, token value changes, or blockchain losses.

To the maximum extent permitted by law, VADER's total liability arising out of or relating to the Services or these Terms will not exceed the greater of: (a) the amount you paid directly to VADER for the specific Service giving rise to the claim during the three months before the claim arose; or (b) USD 100.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

29. Indemnification

You agree to indemnify, defend, and hold harmless VADER and its affiliates, directors, officers, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • your use or misuse of the Services;
  • your Contribution Data;
  • your Partner models, data, workflows, or validation requests;
  • your violation of these Terms;
  • your violation of applicable law;
  • your infringement or misappropriation of third-party rights;
  • your failure to obtain required rights, consents, permissions, or approvals;
  • your wallet, blockchain transactions, taxes, or rewards;
  • your authorized users or anyone using your account, wallet, credentials, or access rights.

30. Force Majeure and External Events

VADER will not be liable for delay, failure, interruption, loss, or damage caused by events beyond its reasonable control, including blockchain failures, wallet failures, cloud provider outages, storage provider outages, internet or electricity failures, cyberattacks, hardware failures, robot facility issues, third-party service failures, labor disputes, regulatory actions, sanctions, war, civil unrest, natural disasters, pandemics, or other force majeure events.

31. Notices

VADER may provide notices through website posting, dashboard notices, account notifications, email, in-product prompts, or other reasonable electronic means.

You are responsible for keeping your account contact information current and reviewing notices made available through the Services.

32. Changes to These Terms

VADER may update these Terms from time to time. The updated version will be posted on the Website or otherwise made available through the Services.

Your continued use of the Services after updated Terms become effective means you accept the updated Terms.

If you do not agree to updated Terms, you must stop using the Services.

33. Assignment

You may not assign or transfer these Terms or your rights or obligations under them without VADER's prior written consent.

VADER may assign or transfer these Terms, in whole or in part, to an affiliate, successor, acquirer, or other entity in connection with a merger, acquisition, financing, restructuring, asset sale, corporate reorganization, or similar transaction.

34. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Panama, without regard to conflict-of-law principles.

You agree that any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the competent courts of Panama, unless applicable law requires otherwise.

35. General Terms

These Terms, together with any incorporated policies, service-specific rules, and applicable written agreements, constitute the entire agreement between you and VADER regarding the Services.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

VADER's failure to enforce any provision is not a waiver of its rights.

There are no third-party beneficiaries to these Terms unless expressly stated.

Headings are for convenience only and do not affect interpretation.

You consent to electronic communications, electronic records, and electronic signatures in connection with the Services.
